Legal review is frequently the single largest bottleneck in enterprise procurement. In-house counsels spend 70% of their time reviewing the same standard clauses—limitation of liability, indemnification, data privacy, and governing law—across hundreds of vendor agreements.
We deployed an autonomous contract negotiation engine that ingests standard DOCX contracts, decomposes agreements into discrete legal obligations, checks compliance against corporate fallback playbooks, and generates production-ready Word redlines with tracked changes.
Granular clause decomposition and fallback tiering
Contracts cannot be evaluated holistically with simple prompts. Our pipeline parses the document hierarchy into individual clauses, matching each against the enterprise playbook's Tier 1 (Ideal), Tier 2 (Acceptable), and Tier 3 (Walk-away) language.
When deviations appear, the redline generator swaps out the risky phrasing for pre-approved fallback clauses and embeds an explanatory comment directly in the Word OpenXML document.
“Turn legal playbooks into executable code with precise tracked changes.”
Preserving document formatting and Word fidelity
Rather than converting files to Markdown and losing numbering and signatures, the system mutates the native OpenXML DOM, ensuring that styles, numbering schemes, and headers remain identical.
